Merchant Terms of Service
Souvely: Commerce Intelligence · Version ci-merchant-terms-v1.0-2026-10-21 · Last updated: October 21, 2026
These terms are for Commerce Intelligence only. Returns & Exchanges Merchant Terms are a separate agreement.
1. Parties and product
These Merchant Terms (“Terms”) govern a merchant’s (“you”, “Merchant”) use of Souvely: Commerce Intelligence (the “App”), a Shopify application operated under the Souvely brand (“Souvely”, “we”, “us”). The App reads order, product, discount, and inventory data, plus costs you enter, and shows estimated contribution, alerts, recommendations, and experiment plan drafts.

Business identity note: registered legal entity name, formation jurisdiction, and registered business address for Souvely are not published on this site and are not invented here. Until confirmed, notices may be sent to the contact email above.
2. Agreement; Shopify relationship
By installing or using the App, you agree to these Terms, the Commerce Intelligence Data Processing Addendum, and the Privacy Policy. If you use the App on behalf of a company, you represent that you have authority to bind that company. The App does not yet require a separate click-wrap inside admin. If a later version does, accepting it there is also agreement.
The App runs on Shopify. Your use of Shopify remains subject to Shopify’s terms and policies. Souvely is an independent Shopify Partner. Souvely is not Shopify, and Shopify does not endorse the App or its estimates.
3. Roles for personal data
For store data processed through the App, you are the controller (or equivalent) and Souvely is the processor (or equivalent), except where Souvely processes data for its own purposes described in the Privacy Policy, such as securing the App, shop-level billing records, or Shopify compliance webhooks. The App does not request customer name, email, phone, or street address.
4. The service
Subject to these Terms, Souvely provides, as implemented in the App:
- An estimated contribution ledger from Shopify order economics
- Product and variant views that use costs you enter or that Shopify exposes
- Profit alerts that stay inside the App
- A what-if simulator that does not change live discounts
- Advisory recommendations and experiment plan drafts that are not executed as discounts
- An advisor that answers from shop data, with any paid model call off unless Souvely explicitly enables it
Estimates are not accounting profit, not tax advice, and not a measure of promotion-incremental profit. Missing costs are not treated as zero. Shopify API availability and the costs you enter limit what the App can show.
5. Your responsibilities
- Enter costs that you are willing to use for an estimate, and review coverage gaps.
- Do not present App figures to customers or lenders as audited profit.
- Keep staff access and your Shopify account secure.
- Comply with Shopify’s Protected Customer Data requirements.
- Do not use the App to process special-category data. The App is not a place to paste customer contact lists into advisor questions.
6. Fees and billing
If a paid plan is offered, it is billed through Shopify as shown in the App before you approve a charge. As of this version, public prices are not published and live Shopify billing is not activated for a general App Store listing. Plan names or amounts that exist only as internal packaging targets are not a price quote. Taxes, if a charge is later approved, are determined by Shopify.

7. Acceptable use
You may not reverse engineer the App except as allowed by law, misuse APIs, interfere with other merchants, attempt unauthorized access, or use the App for unlawful or deceptive purposes. You may not configure the App to change Shopify discounts. It has no feature that does that.
8. Intellectual property
Souvely and its licensors retain rights in the App, branding, and documentation. You retain rights in your store data and the costs you enter. You grant Souvely a limited license to process that data solely to provide the App.
9. Confidentiality
Each party will protect the other’s non-public business information disclosed in connection with the App, using at least reasonable care, and use it only for performing under these Terms, except for information that is public, independently developed, or required to be disclosed by law.
10. Data protection
Processing is governed by the Commerce Intelligence DPA and the Privacy Policy. If they conflict on processor duties, the DPA controls.
11. Security
Souvely uses reasonable measures for this App, including HTTPS in transit, access controls on application infrastructure, and the read-only Shopify scopes configured for the App. No method of transmission or storage is completely secure. These Terms do not promise a certification, a specific encryption-at-rest product, or a fixed incident timeline unless that is separately agreed in writing.
12. Third-party services
The App relies on Shopify and on application hosting and a database (currently Heroku and Heroku Postgres). If paid advisor calls are explicitly enabled, an OpenAI-compatible chat provider may also process a question and the shop evidence sent with it. Those calls are off by default. A provider outage can affect the App.
13. Disclaimers
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUVELY DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DISCLAIMS ANY WARRANTY THAT AN ESTIMATE IS ACCURATE, COMPLETE, OR SUITABLE AS FINANCIAL, TAX, OR ACCOUNTING ADVICE.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUVELY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA, INCLUDING DECISIONS YOU MAKE FROM AN ESTIMATE. SOUVELY’S TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE APP IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE FEES YOU PAID TO SOUVELY FOR THE APP VIA SHOPIFY IN THAT PERIOD (OR USD $100 IF YOU PAID NO FEE). Some jurisdictions do not allow certain limitations; in those cases liability is limited to the minimum permitted by law.
15. Indemnity
You will defend and indemnify Souvely against claims arising from your store data, the costs you enter, how you use or publish App estimates, or your breach of these Terms or applicable law, except to the extent caused by Souvely’s willful misconduct.
16. Suspension and termination
You may uninstall the App at any time. Souvely may suspend or terminate access for material breach, legal risk, non-payment if a paid plan is later charged, or platform requirements. On uninstall or Shopify shop/redact, Souvely deletes shop-owned App data as described in the Privacy Policy and DPA, subject to legal retention needs.
17. Changes
We may update these Terms by posting a new version and changing the version identifier. Continued use after the effective date is agreement. If a later version requires acceptance in the App admin, that screen will say so.
18. Governing law
Pending verification: governing law and venue are not stated until Souvely’s formation jurisdiction and preferred venue are confirmed. Mandatory laws that cannot be waived still apply.
